1.1 Introduction

These Terms and Conditions ('Terms') govern your access to and use of the X Football platform, available at xfootball.co ('Platform'). By registering an account, listing an item, or completing a purchase, you agree to be bound by these Terms. Please read these Terms carefully. If you do not agree, you must not use the Platform.

1.2 About X Football

The Platform is operated by X Football ('X Football', 'we', 'us', or 'our'), a company registered in Australia with ABN 98 184 492 237. X Football operates as a marketplace intermediary. We provide the Platform through which independent sellers ('Sellers') list items for sale and buyers ('Buyers') purchase those items. X Football is not the seller of any item listed on the Platform. Each sale is a direct transaction between the Seller and Buyer.

1.3 Eligibility

To use the Platform you must:

• be at least 18 years of age;
• have the legal capacity to enter into a binding contract in your jurisdiction;
• not be prohibited from using the Platform under applicable law; and
• if registering as a Seller, hold a valid Stripe account and comply with Stripe's terms of service.

By using the Platform you warrant that you meet all eligibility requirements. We reserve the right to request proof of age or identity at any time.

1.4 Account Registration

You must register an account to list items or make purchases. When registering you agree to:

• provide accurate, current, and complete information;
• maintain the security of your password and not share your account credentials;
• notify us immediately of any unauthorised access to your account; and
• accept responsibility for all activity conducted through your account.

We reserve the right to suspend or terminate accounts that breach these Terms.

1.5 Listing Standards

Sellers are solely responsible for the accuracy and legality of their listings. All listings must:

• accurately describe the item's condition, provenance, and authenticity;
• include clear, original photographs of the actual item being sold;
• use correct product identification (brand, model, year, size where applicable);
• state any defects, damage, or material faults;
• comply with all applicable laws, including consumer protection, intellectual property, and advertising standards; and
• not include counterfeit, stolen, or goods of disputed provenance.

X Football reserves the right to remove any listing at its sole discretion without notice.

1.6 Prohibited Items and Conduct

• Counterfeit, replica, or unauthorised reproduction goods
• Stolen goods or items obtained through fraud
• Items with materially false provenance claims
• Goods prohibited by UK or Australian law
• Hazardous materials

Prohibited Conduct

• Misrepresenting item condition, authenticity, or provenance
• Price manipulation or artificial inflation of sales figures
• Circumventing the Platform's payment systems
• Harassing, threatening, or defrauding other users
• Creating multiple accounts to evade suspensions
• Scraping, reverse engineering, or attempting to disrupt Platform infrastructure
• Any conduct that violates applicable law

1.7 Commission and Fee Structure

Free Tier

• 0% platform commission
• 30-day Pro Tier trial on signup

Pro Tier

• 8% platform commission
• Unlimited listings
• Full store features (30-day free trial on signup)

Elite Tier

• 7% platform commission
• Auto-assigned at 10 or more sales per month

Platform commission and a 3% payment processing fee (Stripe) are both calculated on the item price plus shipping, and are deducted from the Seller's payout. X Football reserves the right to amend the fee structure with 30 days' written notice to affected Sellers.

Buyer Protection Fee

Buyers pay a 3% Buyer Protection fee on top of the listing price at checkout. This fee funds X Football's authenticity verification, dispute resolution, and Buyer Protection program (see clause 1.11 and the Refund Policy).

1.8 Offer and Negotiation System

The Platform enables Buyers to submit offers below the listed price. By submitting an offer, a Buyer makes a binding offer to purchase the item at the stated price, subject to Seller acceptance. A Seller who accepts an offer enters into a binding contract of sale at that price. Sellers who accept an offer and subsequently fail to complete the transaction may be subject to account suspension.

1.9 Order Cancellation

Buyers may cancel an order within 24 hours of purchase, provided the Seller has not yet marked the item as dispatched. Buyer-initiated cancellations after dispatch are not permitted except in the circumstances described in our Refund Policy. Sellers may not cancel a confirmed order without consequence. Seller-initiated cancellations are tracked and may result in account suspension or termination. Repeated cancellations will be treated as a material breach of these Terms.

1.10 Payments and Payouts

All payments are processed through Stripe Connect. X Football does not hold Buyer funds at any point. Upon completion of a transaction, funds are transferred to the Seller's connected Stripe account following our payout schedule, minus applicable fees. Payouts may be withheld pending investigation of a dispute, suspected fraud, counterfeit claim, or other breach of these Terms.

1.11 Dispute Resolution

Process

• The Buyer may raise a dispute via the Platform within 14 days of confirmed delivery (or within 14 days of the expected delivery date if the item has not arrived).
• Disputes raised within the first 3 days of delivery are processed on a fast-track basis. After day 3, Seller payouts may have been released and reclaiming funds takes longer; the 14-day window still applies but resolution may be slower.
• The Seller will be notified and given 3 business days to respond.
• X Football will review the evidence submitted by both parties and make a binding determination.
• If the dispute is not resolved through Platform mediation, either party may pursue remedies through applicable consumer protection bodies or courts of competent jurisdiction.

X Football's determination in a Platform dispute is final for the purposes of payout and account standing, but does not affect either party's statutory rights.

1.12 Platform Rights

X Football reserves the right to:

• remove any listing that violates these Terms or applicable law;
• suspend or permanently terminate any account;
• withhold payouts pending investigation;
• cooperate with law enforcement and rights holders in relation to Platform activity; and
• modify the Platform, its features, and these Terms at any time.

1.13 Intellectual Property

All intellectual property in the Platform, including its design, software, trademarks, and content created by X Football, is owned by or licensed to X Football. You must not reproduce, distribute, or create derivative works without our written consent. By uploading content to the Platform (including photographs and descriptions), you grant X Football a non-exclusive, royalty-free, worldwide licence to use, display, and distribute that content for the purpose of operating and promoting the Platform. You warrant that you hold all necessary rights to the content you upload.

1.14 Limitation of Liability

To the fullest extent permitted by law:

• X Football provides the Platform on an 'as is' basis and makes no warranties as to its uninterrupted or error-free operation;
• X Football is not liable for the accuracy of listings, the authenticity of items, or the conduct of Sellers or Buyers;
• X Football's total liability to any user in respect of any claim arising under or in connection with these Terms shall not exceed the total fees paid by that user to X Football in the 12 months preceding the claim; and
• X Football excludes liability for indirect, consequential, or economic loss.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

1.15 Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales. For users in Australia, mandatory consumer protections under Australian Consumer Law apply in addition to and, where they conflict, in priority to these Terms. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales, save that Australian users may bring proceedings in Australian courts in respect of their statutory rights.

1.16 Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated to registered users by email at least 30 days before taking effect. Continued use of the Platform after the effective date constitutes acceptance of the updated Terms. If you do not accept the changes, you must close your account before the effective date.
